      "body": "## Purpose\n\nIn the US liability market, policies differ fundamentally in who controls the legal defence. Under a \"duty to defend\" policy, the insurer takes on the right and obligation to conduct the defence using counsel of its own choosing and to pay defence costs directly. Under a \"duty to indemnify\" or \"duty to pay\" policy, by contrast, the insured organises and initially funds its own defence and is merely reimbursed by the insurer for costs incurred. The clause sets out which of the two models applies under the specific wording.\n\n## Effect and limits\n\nUnder US case law, the duty to defend is generally treated as broader than the duty to indemnify itself: the insurer must defend as soon as the allegations in the complaint present any potential for coverage, even if it later turns out that no indemnity obligation exists. D&O and employment practices liability policies, by contrast, frequently follow the \"duty to pay\" model, under which the insured — usually in consultation with the insurer — selects its own counsel and the insurer only reimburses afterwards.\n\n## Negotiation and practice\n\nUnder duty-to-pay policies it should be established how quickly and to what extent the insurer advances ongoing defence costs, since delayed reimbursement effectively creates a liquidity burden for the insured. For international programmes with US exposure it should also be checked whether the dominant jurisdiction in the programme applies a duty-to-defend model with a correspondingly broad defence obligation, since this can create different expectations around coverage certainty."
